  • Legal and Commercial Baseline

    Website & Service Terms

These terms explain the general baseline for using this website and engaging KlarityXpert. A signed proposal, statement of work, order or agreement may add to or override these terms for a specific engagement.

Important: These are general operating terms, not a substitute for the commercial and legal terms approved for a specific project. KlarityXpert may obtain professional legal review and update this page when required.

    1. Business identity

KlarityXpert is the trade name of KARTIKAY KAPOOR HUF, based at 55-B, Bainad Road, Murlipura, Vikas Nagar C, Jaipur, Rajasthan 302039, India. GSTIN: 08AAPHK3722G1Z4.

    2. Enquiries and proposals

A website enquiry, meeting or discussion does not create an obligation to accept work. Scope, deliverables, exclusions, responsibilities, fees, taxes, payment stages, dates and validity are confirmed in the relevant written proposal, order or agreement.

    3. Project activation and capacity

A project starts only after the required approval, agreed initial payment, client inputs and delivery capacity are confirmed. A requested date is not a committed date until it is accepted in writing.

    4. Client inputs and dependencies

Timelines depend on timely access, content, data, decisions and consolidated feedback from the client. Missing or delayed dependencies may pause work, move the delivery window or require a revised plan. Any specific inactivity period or restart condition will be stated in the project documents.

    5. Scope changes

Requests outside the approved scope are assessed before execution. KlarityXpert may issue an add-on, change note or revised proposal covering the additional work, cost, dependency and timeline.

    6. Reviews and acceptance

Review rounds, acceptance criteria and approval owners are defined by the project scope. Feedback should be consolidated and provided through the agreed route. Work may be treated as approved only as stated in the applicable project documents or after written acceptance.

    7. Third-party services

Domains, hosting, email, licences, media, advertising spend, payment services and other third-party products remain subject to provider availability, pricing, renewal terms and policies. Provider prices or features may change, including at renewal. Ownership and account access will follow the approved scope and provider rules.

    8. Fees, taxes and payment

Fees and payment stages are stated in the applicable proposal or order. Taxes are charged where required. KlarityXpert may pause delivery, publication, transfer or handover when an approved payment is overdue, subject to the project agreement and applicable law.

    9. Intellectual property and handover

Ownership and usage rights are defined in the project documents. Unless otherwise agreed, final approved deliverables created specifically for the client are transferred after the related payment and handover conditions are completed. Third-party assets, fonts, software, stock media, templates and licences remain governed by their own terms.

    10. Confidentiality, data and access

Each party should protect confidential information received for the engagement. Access should be limited to what is reasonably required for approved work. Personal information is handled in line with the Privacy Policy and applicable project obligations.

    11. Performance and external factors

KlarityXpert will perform approved services with reasonable professional care. Search rankings, advertising outcomes, platform approvals, audience response, third-party uptime and business results cannot be guaranteed unless a specific written commitment expressly states otherwise.

    12. Suspension or termination

Either party may suspend or end an engagement as permitted by the signed project documents. Amounts due, completed work, committed third-party costs, access revocation, confidentiality and applicable ownership provisions may continue after termination.

    13. Liability and applicable law

Any limitation of liability, indemnity, dispute process or governing law for a project is controlled by the signed agreement. Where no project-specific clause exists, rights and obligations remain subject to applicable law and the competent courts at Jaipur, Rajasthan, India, to the extent legally permitted.

    14. Updates and contact

These terms may be updated to reflect operating, provider or legal changes. The version available on this page applies from its publication date unless a signed agreement states otherwise. Questions may be sent to kartikay@klarityxpert.com.
